This panel will focus on objections raised by counsel, and rulings by a presiding bankruptcy judge, during live mock direct and cross-examination of witnesses in a Chapter 11 confirmation hearing. Attendees will gain an understanding of how to properly make/respond to, and the merits of, certain objections to testimony in the context of a Chapter 11 confirmation hearing.

This panel will provide attendees with a step-by-step process to review potential claims against parties-in-interest in chapter 11 proceedings. The panelists will review the establishment of independent directors/special committees and scope of authority, the process plan regarding a proposed investigation, execution of the plan during chapter 11 proceedings, and addressing issues, allegations and disputes raised by stakeholders.

For nearly 100 years, we have not experienced a shock to the economy where large numbers of industries exhibited disastrous declines in revenues resulting from a pandemic. Frankly, none of us were equipped with readily available valuation frameworks to handle such shocking changes in cash-flow projections, discount rates, the ‘appropriate’ use of comparable companies and the relevant transactions to be used in the M&A comparable method. This panel discussion will present the main valuation parameters that have been affected by the COVID-19 pandemic and the associated legal and experts’ battles, mostly during and post-pandemic.

The panel will discuss the impact of the amendments to the Cayman Companies Act, which introduce the ability of a company to restructure under the supervision of a company restructuring officer on grounds that the company is or is likely to become unable to pay its debts and intends to present a compromise or arrangement to its creditors (or classes thereof), either pursuant to the Companies Act (2021 Revision) or a foreign law or by way of a consensual restructuring. These provisions will be compared to and contrasted with U.S. chapter 11.

This panel will discuss the latest updates on cross-border fraud issues, including the cross-border interplay between the SEC and U.S. state receiverships, domestic litigation, and liquidations in the Cayman Islands. The panelists will highlight the SEC v. TCA Fund case, which involved a huge fraud committed on investors in a master feeder structure, the issues surrounding the Florida receiver’s motion to approve a distribution plan in that case, and the conflict with Cayman law that, if applied, would produce a drastically different result than the plan proposed by the receiver.

This panel will discuss eligibility issues and strategies related to chapters 11 and 15, filing in other jurisdictions, and cases such as Modern Land, Global Cord Blood and Comair Ltd.
